Mergers & Acquisitions, Corporate Law, Private Equity, Mining, Corporate Litigation, and Contracts
- Advised Engie on the joint acquisition with CDPQ of 90% of Transportadora Associada de Gás S.A. - TAG, the largest gas transporter in Brazil with approximately 4,500 km of pipelines, for approximately R$ 33.5 billion.
- Assisted Vibra Energia in acquiring 50% of the share capital of Comerc Participações S.A. for R$ 3.25 billion.
- Advised Forbes & Manhattan on the acquisition of Paraná Xisto S.A. from Petrobras, a company holding the concession for exploration and production of oil and gas from shale, along with shale mining and refining assets related to the Shale Industrialization Unit (SIX) located in São Mateus do Sul, Paraná.
- Assisted Vale S.A. in the sale of Estrela Ferroligas de Manganês S.A. (now Nexus Manganês S.A.), a company holding two ferroalloy plants and a manganese mine in the state of Minas Gerais previously owned by Vale Manganês S.A., to Grupo VDL.
- Advised Mubadala and Trafigura on the establishment of Mineração Morro do Ipê S.A. and its acquisition of certain mining assets and rights held by MMX Sudeste organized as an isolated production unit within MMX's judicial recovery process.
- Assisted Andrade Gutierrez Engenharia S.A. and Construções e Comércio Camargo Corrêa S.A. in the sale of Sistema Produtor São Lourenço S.A. ("SPSL") to CGGC Construtora do Brasil Ltda.
- Advised Equatorial Energia S.A. on the acquisition of Companhia Estadual de Distribuição de Energia Elétrica S.A. (CEEE-D), Companhia Energética do Piauí S.A. (CEPISA), and Companhia Energética do Alagoas S.A. (CEAL) in their respective privatizations.
- Assisted Algar Telecom in the acquisition of Vogel Soluções em Telecomunicações e Informática S.A. for R$ 377 million.

Pietro has extensive experience in mergers and acquisitions in regulated sectors in Brazil, especially in the mining industry where, before joining our firm, Pietro worked on several transactions worldwide as an in-house lawyer at one of the world's largest mining companies.
