PRACTICE AREAS

Oil & Gas

We have a team dedicated to structuring, developing and financing projects in the oil and gas sector, including shipbuilding projects linked to this sector. Our teams also actively work in mergers and acquisitions in the sector. The Stocche Forbes infrastructure team has extensive experience in advising on projects in the oil and gas sectors, having in-depth knowledge of commercial and regulatory issues related to the industry. Our work includes advising financial institutions and companies operating in the sector, in structuring and negotiating financing for the development of projects, mergers and acquisitions involving the upstream, midstream and downstream segments, including Petrobras' divestment processes, as well as the preparation, negotiation and management of the legal aspects of all construction and operational contracts related to the sector and the respective supply and service chain.

We have a prominent role in project financing operations, whether through a consortium of local banks, transfers and guarantees involving BNDES or the Merchant Marine Fund, local and international capital markets or transactions involving multilateral agencies, export credit agencies and other international financiers.

We also have a strong track record in project development, both in preparing clients for bidding rounds promoted by the ANP, and in forming joint ventures and drafting and negotiating underlying contracts such as consortia, JOAs, EPCIs, charter contracts and operation of floating and fixed units, terminals and pipelines for oil and gas flow, small-scale and gas to power projects, supply contracts and other contractual instruments necessary for large projects in the oil and gas and shipbuilding sectors.

Our advice also involves the fiscal structuring of operations and environmental issues that are relevant to each project.

We also have specialists in administrative law and regulatory law, and we provide all the necessary advice for participating in bidding processes, public-private partnerships and other types of delegation of services or works to local and foreign companies in the private sector.
